Solar Industries India has agreed to acquire Johannesburg-based Omnia Holdings in an all-cash transaction valued at approximately $1.36 billion. The landmark deal marks a major expansion for the Indian explosives and ammunition manufacturer as the firm looks to scale up its footprint across the African continent and capitalize on surging global demand for critical minerals.

Under the terms of the agreement, an indirect wholly owned subsidiary of Solar Industries named Solar SA Investments will acquire all outstanding shares of Omnia. Shareholders are slated to receive 134.5 rand per share, representing a substantial premium over the company’s previous closing price on the Johannesburg Stock Exchange. The transaction requires approval from relevant regulatory authorities and Omnia shareholders, with corporate leadership anticipating completion around early to mid 2027. Once finalized, Omnia will be delisted from both the Johannesburg Stock Exchange and A2X Markets.

For Solar Industries, the acquisition serves as a strategic gateway into more robust international markets. Omnia brings a rich operational history dating back to 1953, maintaining a physical presence across 23 countries and serving clients in more than 40 nations. The company operates through primary divisions focusing on mining solutions via its BME brand alongside extensive agricultural services. Omnia reported annual revenues of roughly $1.41 billion for the fiscal year ending in March, underpinned by solid performances in both its chemical and fertilizer segments.

Executives note that the integration will combine Solar Industries’ advanced technological capabilities, such as autonomous robotics and specialized drone applications, with Omnia’s established distribution networks spanning Africa, Canada, Brazil, Indonesia, and Australia.
